Black & White Film Factory agrees to exercise reasonable care and best efforts to produce high quality work, but does not assume responsibility for damage to or loss of the Customer's material due to any cause whatsoever for any amount beyond the replacement value of the raw stock involved. The Customer should, therefore, insure all materials delivered to this Company against all risks. The Customer hereby assumes, as far as BWFF is concerned, all liability under the copyright laws and under any and all other statutes arising out of the performance by BWFF of any services for the Customer, and agrees to indemnify and hold BWFF free and harmless of all suits, claims, damages, and other liability and expense which may arise either directly or indirectly out of or by reason of services performed by BWFF for the Customer.
LABORATORY LIEN ON FILMS
Films and other material are accepted on the express condition that BWFF holds a lien thereon for the balance from time to time due BWFF from the Customer, whether in respect to processing, printing, shipping charges, interest due on late account payments, or otherwise.
TERMS
For open accounts invoices are payable thirty days from date of issue. A late charge not to exceed the legal rate will be added to any past due amount. Customers without an account shall deposit 50% on placement of order and the balance upon completion of services. All prices are in Canadian dollars and are FOB BWFF. BWFF reserves the right to change any or all prices without notice and to collect sales taxes where required by law. All work received by the customer will be deemed to be satisfactory unless the customer informs BWFF of a problem in writing within 30 days of receipt of the work.
BILLING FOOTAGE
Billing footage for all printing will be from Printer Sync to the end (stop) point plus twenty to fifty (20-50) feet. Although the extra footage is required in lab operations for quality control purposes , it may not all be furnished with the print.
FIRST ANSWER PRINT
This print is not guaranteed to be perfect but represents the best judgment of our timers. Timing corrections, if any, should be requested by the Customer after viewing the answer print and prior to ordering intermediates or release prints, subject to a back-timing charge. If the film has been re-edited, or extensive changes are requested, another answer print will be required at the Customer's expense. If the Customer orders subsequent print operations without first examining the answer print, the Customer assumes all responsibility for defects which would have been evident in the answer print. If the Customer tampers with, looses, or damages BWFF sync marks, cue tabs, timing cards, or tapes, the Customer will be fully responsible for any expense, waste, or delay resulting there from.
NSF CHECKS
All NSF checks will have an additional $20 administration fee. All accounts sent to a collection agency will be charged a $20 late fee. If additional costs are incurred to collect an outstanding debt, these costs will be added and deemed owed in addition to the original amount owed. (These may include, but are not limited to, collection fees, courts costs, and attorney's fees.)
GOVERNING LAW JURISDICTION AND VENUE
All transactions shall be deemed to have been made in Ontario.
SHIPPING
BWFF is not responsible for any damages resulting from shipping.
We are closed on all Statutory Holidays, Saturdays and Sundays. All special arrangements, including overtime and Lab Opening, should be made in advance. After business hours you can leave your film in our drop box.
